2. Website Use

You agree not to:

Changes to the project scope, requirements, functionality, content, integrations, or client-side dependencies may result in additional costs or changes to the estimated timeline.
5. Client Responsibilities
Clients are responsible for providing the information, content, assets, access, feedback, and approvals reasonably required to complete a project.
The client agrees to:
- Provide accurate project requirements.
- Provide required text, images, branding, data, and other materials.
- Provide timely feedback and approvals.
- Ensure that supplied materials do not infringe the rights of third parties.
- Provide required access to relevant systems or platforms.
- Review deliverables within the agreed timeframe.
- Notify Snipters promptly of any changes to project requirements.
Delays caused by missing information, delayed feedback, unavailable resources, or other client-side dependencies may affect the project timeline.
6. Project Scope
Snipters will deliver the services and features included in the agreed project scope.
Requests that fall outside the agreed scope may be treated as additional work.
Additional work may include:
- New features or functionality
- Additional pages or screens
- New integrations
- Additional platforms or devices
- Major design changes after approval
- Additional development requirements
- Substantial revisions to previously approved work
Additional work may require a separate quotation and may extend the project timeline.
7. Design Revisions and Approvals
The number of design revisions included in a project will depend on the applicable proposal or project agreement.
Once a design, page, feature, or milestone has been approved by the client, significant changes requested afterward may be considered additional work.
Clients are responsible for reviewing deliverables and providing feedback within the agreed review period.
8. Payments
Project fees and payment schedules will be agreed upon before or during project engagement.
Depending on the project, payment may be divided into deposits, milestones, or other agreed stages.
Unless otherwise agreed:
- Work may begin after the required initial payment has been received.
- Milestone payments must be made according to the agreed schedule.
- Additional work may be charged separately.
- Third-party costs may be charged separately from Snipters’ service fees.
If a payment becomes overdue, Snipters reserves the right to pause work until the outstanding payment has been received.
9. Third-Party Services
Projects may require third-party software, plugins, APIs, hosting services, cloud platforms, payment providers, AI tools, licenses, or other external services.
Snipters does not control third-party services and cannot guarantee their availability, performance, pricing, security, compatibility, or continued operation.
Changes or outages affecting third-party services may affect the functionality or delivery of a project.
Unless otherwise agreed, the client is responsible for ongoing third-party subscription, license, hosting, API, and service fees.
10. Artificial Intelligence and AI-Assisted Development
Snipters may use AI-assisted tools and technologies as part of its design, development, research, testing, documentation, and workflow processes.
AI tools may assist with activities such as:
- Product ideation
- Research
- Design exploration
- Prototyping
- Coding and development
- Testing and debugging
- Documentation
- Workflow optimization
AI-assisted output may be reviewed, modified, and tested by our team before being incorporated into project deliverables.
While we make reasonable efforts to review AI-assisted work, Snipters does not guarantee that AI-generated output will always be completely accurate, error-free, original, or suitable for every purpose.
11. Intellectual Property
Unless otherwise agreed in writing, Snipters retains ownership of its pre-existing intellectual property, including:
- Internal tools
- Frameworks
- Processes
- Methodologies
- Reusable components
- Libraries
- Templates
- Development techniques
- General know-how
Ownership of project-specific deliverables will be determined by the applicable project agreement.
Where ownership or rights to specific deliverables are transferred to the client, such transfer may be subject to full payment of all applicable project fees.
Snipters may continue to use general knowledge, techniques, methodologies, and reusable non-client-specific components developed during a project.
12. Client Materials
The client retains ownership of materials provided to Snipters, including logos, trademarks, images, text, data, documents, designs, and other content.
The client confirms that it has the necessary rights and permissions to provide these materials and authorize their use for the project.
Snipters may use client-provided materials solely as reasonably necessary to provide the agreed services.
13. Portfolio and Case Studies
Unless otherwise agreed in writing, Snipters may display completed work in its portfolio, website, presentations, case studies, and marketing materials.
This may include project names, screenshots, descriptions, or other publicly available information relating to the completed project.
Where a project is subject to confidentiality restrictions or a separate agreement that prohibits such use, Snipters will comply with those restrictions.
14. Deliverables and Acceptance
Snipters will make reasonable efforts to deliver agreed project deliverables according to the applicable scope and timeline.
A deliverable may be considered accepted when:
- The client expressly approves it;
- The client uses it in a live or production environment; or
- The applicable review period expires without material objections, where such an acceptance process has been agreed.
Minor issues that do not materially affect the intended functionality of a deliverable will not necessarily constitute grounds for rejection.
15. Testing and Maintenance
Snipters will make reasonable efforts to test deliverables within the environments and requirements included in the project scope.
However, software and digital products may be affected by changes outside our control, including:
- Browser updates
- Operating system updates
- Hosting changes
- Third-party API changes
- Plugin or dependency updates
- Server configuration changes
- Security services
- Device-specific behavior
Unless specifically included in the project agreement, ongoing maintenance, hosting, monitoring, security management, updates, and future compatibility are not automatically included after project completion.
16. Service Disclaimer
Snipters will provide its services with reasonable care and professional skill.
However, we do not guarantee that:
- The website or services will always be available.
- Software will always be completely error-free.
- Third-party services will remain available or compatible.
- A project will achieve a particular level of revenue, sales, traffic, growth, or business performance.
- AI-assisted functionality will always produce accurate or expected results.
Any specific warranties or guarantees must be expressly stated in the applicable project agreement.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Snipters will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of our website or services.
This may include loss of:
- Revenue
- Profits
- Business opportunities
- Data
- Goodwill
- Expected savings
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
To the maximum extent permitted by law, Snipters’ total liability relating to a particular project will not exceed the amount actually paid by the client to Snipters for that project.
18. Cancellation and Termination
Either party may terminate a project according to the terms agreed in the applicable project agreement.
If a project is cancelled or terminated:
- The client remains responsible for work completed up to the termination date.
- Completed or approved milestones may remain payable.
- Non-refundable deposits, where applicable, will be handled according to the agreed payment terms.
- Third-party costs already incurred may remain payable.
- Transfer of applicable project deliverables may be subject to payment of outstanding amounts.
Snipters may suspend or terminate services if the client fails to make required payments or materially violates these Terms or the applicable project agreement.
19. Refunds
Refunds will be handled according to the applicable project agreement, quotation, or payment terms.
Because digital services involve time, resources, design, development, research, and other project costs, payments for completed or committed work may not be refundable unless otherwise agreed in writing or required by applicable law.
20. Confidentiality
Both Snipters and its clients may exchange confidential business, technical, product, or strategic information during a project.
Each party agrees to use reasonable measures to protect confidential information and not disclose it to unauthorized parties, except where disclosure is required by law or otherwise permitted by the applicable agreement.
Where a separate Non-Disclosure Agreement (NDA) is in place, the NDA will govern confidentiality obligations.
21. Force Majeure
Snipters will not be responsible for delays or failure to perform caused by circumstances reasonably outside our control.
Such circumstances may include natural disasters, internet or power outages, government actions, cyber incidents, widespread service outages, labor disruptions, war, civil unrest, pandemics, third-party service failures, or other unforeseen circumstances.
Where reasonably possible, we will communicate significant delays and work with the client on an appropriate revised timeline.
22. Changes to These Terms
Snipters may update these Terms & Conditions from time to time.
Any changes will be posted on this page along with an updated “Last Updated” date.
Your continued use of the website after changes are published constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
23. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws governing Snipters.
Any specific governing law, jurisdiction, or dispute-resolution provisions contained in a separate agreement between Snipters and a client will take precedence for that project.
24. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to remain in effect.
The invalid or unenforceable provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted by law.
